SAN JUAN, Puerto Rico, Sept. 29, 2025 /PRNewswire/ — Tax Free Fund for Puerto Rico Residents, Inc. (“TFF I”), Puerto Rico Residents Tax-Free Fund, Inc. (“PRRTFF I”), and Puerto Rico Residents Tax-Free Fund VI, Inc. (“PRRTFF VI,” and together with TFF I and PRRTFF I, each a “Fund” and collectively, the “Funds”) today announced the results of the Funds’ 2025 Special Meetings of Shareholders (the “Special Meeting”) held at 10:00 a.m. local time, September 26, 2025, at the law offices of Ferraiuoli LLC in San Juan, Puerto Rico and virtually via a live webcast.
There were present in person or by proxy shares of common stock representing approximately 67.26% (TFF I), 65.83% (PRRTFF I), and 68.29% (PRRTFF VI) of the outstanding shares of each of the Funds as of the record date. The proposal for each Fund to cease operations as an investment company received sufficient votes for approval with 95.36% (TFF I), 95.54% (PRRTFF I), and 98.38% (PRRTFF VI) of the shares represented at the Special Meeting voting to approve the proposal. The proposal for each Fund to, following a sale of substantially all of the Fund’s securities, pay a dividend with the proceeds of such sale to shareholders also received sufficient votes for approval with 97.36% (TFF I), 95.45% (PRRTFF I), and 98.48% (PRRTFF VI) of the shares represented at the Special Meeting voting to approve the proposal.
The Board of Directors of each of the Funds (the “Boards”) are pleased to report this exceptional turnout at the Special Meeting, with an overwhelming majority of shares present in person or by proxy voting in favor of the proposals.
